Introduction

This Privacy Policy of Legata, Inc. (“Legata” or “we”) explains how we collect, use and share the personal information of users who access and use our website at www.legata.com (the “Website”), our related estate planning software-as-a-service platform, and our mobile application(s) (collectively, the “Service”), and the rights and choices you have regarding your data.

Before using the Service or submitting any personal information to Legata, please review this Privacy Policy carefully. If you have questions, you can contact us at privacy@legata.com. By using the Service, you agree to the practices described in this Privacy Policy. If you do not agree to the terms of this Privacy Policy, you should not use the Service.

In some cases, we may act as a service provider to an attorney, financial advisor, accountant, trustee, or other professional (each, an “Advisor”) who is providing services to an individual as their end client (“End Client”). If you are an End Client, our use of your personal information submitted to the Service will be governed by our agreement with the Advisor who is using the Service (an “Advisor Client”) and by the Advisor’s own privacy policies and practices. If you are working with an Advisor, please consult the Advisor and their privacy policy for more information about how they manage your personal information.

This Privacy Policy does not apply to Legata’s handling of personal information related to current, former, or prospective employees of Legata. This Privacy Policy does not apply to personal information of an Advisor Client’s employee or other authorized representative that Legata receives in connection with procurement, use and payment of the Service (for example, the names and email addresses of the Advisor Client’s Authorized Users, account managers and accounts payable personnel), which we will treat as information pertaining to individuals acting as business representatives and not in their individual or household capacity.

In this Privacy Policy, “Estate” means the real and personal property assets and other estate planning-related matters, such as insurance or trusts, that are covered by a subscription to the Service, as reflected in the subscription and accounts for that Estate in the Service. If you are the Estate owner controlling the subscription and the access and use rights of the Estate (“Estate Owner”), your “Authorized User” means a person or entity (e.g., your spouse, Advisor, beneficiary, or family member) who you authorize to access and use the Service with respect to the Estate. An Authorized User of an Advisor Client means an individual owner or employee who the Advisor Client authorizes to use the Service as part of its organization, and the Advisor Client is itself an Authorized User of an End Client. Each Authorized User, whether of an Estate Owner or an Advisor Client, will have a separate account with the Service.

Legata may update this Privacy Policy from time to time. If we make material changes, we will provide notice through the Service, on the Website, by email, or as otherwise required by law before they take effect. By continuing to use the Service after any updates take effect, you acknowledge and accept the revised Privacy Policy and the data practices described therein. You should review this Privacy Policy periodically, especially before providing any personal information.

Personal Information We Collect

The types of personal information we collect depend on how you interact with the Service and the choices you make. We collect personal information in three primary ways: information you or your Authorized Users provide directly, information collected automatically, and information we receive from third parties.

a. Information You Provide Directly

We collect the following categories of your personal information that you voluntarily submit when interacting with Legata or the Service:

  • Contact Information: We may collect your contact information (name, email address, phone number, and/or mailing address) when you inquire about our services, download educational content from the Website, register for an event or seminar, request support or otherwise communicate with us.
  • Account/Subscription Information: When you register for a subscription or an account, we collect your contact information and other necessary information.
  • Estate Data: We collect information submitted to or created within an Estate in the Service, including data contained within uploaded documents (“Estate Data”). Estate Data may include personal information in or about wills, trusts, insurance policies, instructions, asset descriptions, ownership interests, business entities, digital accounts, and other estate-related content. It may also include personal information about family members, beneficiaries, fiduciaries, and advisors, such as names, dates of birth, relationships, and contact details.
  • Estate Planning Inputs: If you use the Service to generate legal or planning documents, we collect details necessary to create those documents, such as beneficiary information, preferences for distribution of assets, guardianship designations, or executor nominations.
  • Document Vault Information: We collect electronic copies of documents and records uploaded to your digital vault in the Service, which may include identity documents, tax returns, birth and death certificates, marriage licenses, family records, bank statements, signed estate planning documents, and other personal records. These documents and records constitute Estate Data.
  • Payment Information: If you purchase a subscription or pay for premium features, your payment information is processed securely by a third-party payment processor. We do not store full credit card or bank details on our servers. We may retain non-sensitive identifiers (such as a customer or payment method reference) that allow us to manage your subscription and billing through the payment processor.
  • Support and Communication Data: We collect information you provide when you contact customer support, submit inquiries, respond to surveys, provide feedback, participate in promotions, or request updates. If we provide support via chat, we will collect a log about your interaction with our chat agents.
  • Social Media Information: If you interact with Legata on third-party social media platforms (such as Facebook, Instagram, LinkedIn or YouTube), we may collect information you make publicly available or share with us, including your name, username, profile information, or contact details. We may also receive aggregate analytics from social media platforms regarding your interactions with our social media pages.
  • Inferences: We may use the information we collect to generate inferences about your interests, preferences, or behavior to personalize your experience or improve our services (such as surfacing relevant estate planning prompts or document templates).
  • Advisor Client Information: If you are an Advisor Client, we collect information about your business personnel, including names, job titles, business contact details, and billing or administrative points of contact. As noted above, this information will be governed by our agreement with you as an Advisor Client and not by this Privacy Policy.

b. Information Collected Automatically

We automatically collect certain analytical and system information when you access or use the Service (“System Data”). System Data helps us understand user behavior, secure the Service, and evaluate and improve performance. System Data includes:

  • Device Information: We collect information about the device you use to access the Service, including its make and model, operating system, browser type and version, IP address, and device identifiers. The information collected may vary based on your device type and privacy settings.
  • Usage Information: We collect information about how you interact with the Service, such as the pages you view, features you use, documents you generate, frequency and duration of your sessions, links clicked, navigation paths, and websites you visited before coming to the Website. We may use third-party analytics tools, such as Google Analytics, to help collect and analyze this usage data.
  • Location Data: We may infer your approximate location based on your IP address. If you access the Service through a mobile device and enable location services, we may also collect precise geolocation information using GPS, WiFi, or Bluetooth technologies. You can limit or disable location sharing through your device settings.
  • Email Interaction Data: We may collect information about the date and time you open an email from us or click on a link within an email.

System Data does not constitute Estate Data, except for any Estate Data contained within the System Data that has not been de-identified such that it no longer constitutes personally identifiable information.

We use the following technologies to support our automatic collection of System Data:

  • Cookies: These are small text files stored on your device to help the Service recognize your browser and remember things about your device so your interactions with the Service are easy, meaningful and more secure.  Cookies help us authenticate your identity, remember your preferences and the information you provide, enable functionality, track your interactions with the Service, and generate analytics and performance metrics.
  • Local Storage Technologies: Similar to cookies, these technologies allow us to store larger amounts of data on your device to support specific application features.
  • Web Beacons: Also known as pixel tags or clear GIFs, these are small images embedded in emails or webpages that indicate whether a message or content was opened, viewed, or clicked. We may use web beacons in our email marketing communications to determine whether our emails have been opened or acted upon. When we advertise on third-party websites, we may use or allow those third parties to use web beacons or similar technologies on the Website to better understand how our advertisements are performing  on those third-party websites.

Cookies, web beacons and similar technologies help us improve the Service by allowing us to personalize and facilitate our users’ interaction with the Service, better anticipate our users’ needs and to understand which features or content are most popular. They also allow us to deliver more relevant and meaningful advertising and better understand its effectiveness.

You can manage your cookie preferences through your browser settings. Please note that disabling cookies may impact your ability to use certain features of the Service.

c. Information from Third Parties

We may also collect personal information from third-party sources, including:

  • Authorized Users: If you are an Estate Owner, we receive the information and documents that Authorized Users voluntarily submit or upload on your behalf to the Service.
  • Advisor Clients: If you are an End Client, we may receive your personal information from your Advisor using the Service as an Advisor Client. This may include data necessary to generate documents, set up an Estate profile, or manage access rights.
  • Partners: We may engage in joint events, sponsorships or other marketing activities with our third-party commercial partners and we may collect personal data about you from these activities. We also allow our commercial partners to provide referrals to Legata of individuals who may be interested in learning more about our services. Legata does not control how such third parties collect or process your personal information, and we rely on them to obtain your permission before sharing your personal information with us.
  • Third-Party Integrations: If you choose to connect an Estate in the Service to external accounts or services (such as financial accounts or document storage systems), we may receive associated data, such as account balances, property values, or information or metadata from documents, from those third-party providers. Legata does not control how such third parties collect or process your personal information, and we rely on them to obtain your permission before sharing your personal information with us.
  • Publicly Available Sources: We may collect information from public databases or sources, such as county property records or government registries, to confirm asset ownership or supplement estate planning data.

How We Share Personal Information

We share personal information only as necessary to provide, maintain, evaluate, and secure the Service, deliver the related estate planning services and customer support, comply with legal and contractual obligations, and protect the rights of Legata and others. We do not sell, rent, or lease your personal information to third parties, and we do not share personal information for cross-context behavioral advertising.

We may share your personal information in the following circumstances:

a. With Authorized Users

You may choose to share information in your Estate in the Service with others, including:

  • Authorized Users: You may authorize individuals and entities to access your Estate data for planning, management, or collaboration purposes. This may include spouses, domestic partners, family members, executors, trustees, attorneys or other Advisors, beneficiaries, guardians, or other designated agents or users. Your Estate may have multiple Authorized Users associated with it, each with varying access and use rights. You should carefully review our SaaS Service Terms regarding the specific access and use permissions (and ability to designate and change those permissions) applicable to Estate Owners, Authorized Users, End Clients and Advisor Clients and ensure that the Estate reflects the desired permissions.
  • Emergency Access Contacts: If Service functionality permits, you may designate trusted contacts to receive certain information in the event of your incapacity or death. We will take reasonable steps to verify such incapacity before releasing any information.

b. With Advisor Clients

If you are an End Client on whose behalf an Advisor Client is using the Service, we may share your personal information with that Advisor Client, who can access, manage and use the Estate Data through the Service consistent with the Estate settings and permissions. This may include:

  • Status and content of your estate planning documents; and
  • Documents in your digital vault; and
  • Estate summaries, planning instructions, or analytics; and
  • Contact or profile information you provide.

We encourage you to review your Advisor’s privacy practices and any engagement terms directly, as those policies may also govern their use of your information.

c. With Our Service Providers

We share personal information with our third-party service providers/vendors who perform services on our behalf, to help us operate, maintain, evaluate and secure the Service and deliver the related estate planning services and customer support. These providers may include:

  • Cloud hosting and infrastructure vendors
  • Payment processors and billing platforms
  • Notary and e-signature providers
  • Document generation and storage tools
  • Analytics and security service providers
  • Customer support platforms and communication tools
  • AI and LLM technology vendors (solely for use within our Service)
  • Professional service providers, such as legal, compliance, or accounting providers.

Our service providers are contractually bound to protect your personal information and use it only as necessary to provide the requested services to us.

d. With Business Partners

We may share personal information with integration partners, referral partners, or resellers to facilitate delivery of services or platform features you have enabled or requested and to report on service metrics. For example, we will share the necessary information with a third-party service provider to whom you request a referral (such as an insurance broker, attorney or other professional advisor) or with the provider of a third-party integration that you enable in the Service (such as an integration to your external financial accounts), and if you come to Legata using a code provided by a referral partner, we will let the partner know. We may also share your information with organizations with whom we jointly offer events, estate planning tools or educational materials. Your agreement with the third party will govern their use of the shared information.

e. For Legal Compliance and Protection

We may disclose your personal information when we believe in good faith that such disclosure is necessary to conduct any of the activities described above in the section entitled “How We Use Personal Information/Comply with Legal and Contractual Requirements, Address Threats and Protect Rights.”

We do not voluntarily disclose personal information to government agencies or law enforcement  in the absence of a subpoena or legal requirement to do so.

f. In Business Transactions

If Legata is involved in a merger, acquisition, reorganization, sale of assets, bankruptcy, or other corporate transaction, we may share or transfer your personal information in connection with that transaction. In such cases, we will take steps to ensure that the receiving party agrees to protect your personal information in accordance with this Privacy Policy or a substantially equivalent policy.

g. With Your Consent

We may share personal information with other third parties when you direct us to do so or when you give us your express permission.

Data Retention

We retain personal information for as long as necessary to fulfill the purposes outlined in this Privacy Policy.

While a subscription for an Estate is active, access and use permissions of Authorized Users with respect to Estate Data, including the right to download, modify or delete data, is governed by the permissions set in the Estate. If you are an Estate Owner, you have the right to download your Estate Data, as well as the right to require Legata to delete or overwrite it, both during the term of the subscription and for three months after its termination, as described in the Saas Service Terms. Upon receipt of a valid deletion request, we will promptly delete, overwrite, destroy or de-identify the requested data, other than Estate Data that must be retained to address a request you made (such as a request for a referral), to fulfill other obligations under the Agreement or other agreements, for recordkeeping, regulatory, legal, or audit purposes, for system security and integrity, prevention of fraud or abuse, or for compliance with our internal data retention policies. Deleted data may be retained in system backups or logs for a limited time.

Legata may, but has no obligation to, maintain or return Estate Data more than three months after a subscription ends. If the Estate Owner does not request deletion or overwriting in accordance with the SaaS Service Terms, we will follow our internal data retention policies. Our data retention practices vary depending on the nature of the information and the reason for which we have retained it. When we no longer need your personal information for the applicable purpose, we will securely delete, overwrite, destroy or de-identify it.

Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect the personal information we retain. This includes, among other things:

  • Encrypting sensitive data in transit using SSL/TLS when it is exchanged between your web browser and the Service;
  • Encrypting all data at rest using industry-standard encryption (AES-256 or equivalent), including both database records and any uploaded or Service-generated documents;
  • Limiting access to personal information to authorized personnel and service providers who require it for legitimate business purposes;
  • Maintaining data integrity through monitoring and backup systems; and
  • Requiring third-party vendors to implement appropriate data protection measures.

However, no system is 100% secure. While we take reasonable steps to protect your information, we cannot warrant or guarantee the absolute security of any data submitted to, generated by or stored in the Service or transmitted through the internet.

You play an important role in safeguarding your data. We encourage you to use strong passwords, keep your account credentials confidential, ensure your devices have up-to-date security protections. You are responsible for implementing any additional verification procedures and security you deem necessary.

If you believe your account or information has been compromised, please contact us immediately at support@legata.com.

Your Rights Under State Privacy Laws

Depending on where you reside, you may have certain rights under state privacy laws regarding the personal information we collect and maintain about you. These rights are designed to help you understand and control how your personal data is used. We honor these rights as required by applicable law and will take reasonable steps to verify your identity before fulfilling any request.

The Service is intended for use by adults and is not directed to children. We do not permit children to create accounts or use the Service. If you are under 18, please do not use the Service.

We knowingly collect personal information about children under the age of 16 only if you, your Authorized Users or other users submit or upload it to the Service or otherwise provide it to us. For example, you may identify your children or dependents in a trust, will or other estate planning document and you and your Authorized Users may upload or store documents that include information about your children. To the extent personal information about a minor is included in your Estate in the Service, that information is treated as your personal information for purposes of applicable privacy laws and we will collect, use and share that information only as provided in this Privacy Policy. You are responsible for the appropriateness and legality of Estate Data relating to children that is submitted or uploaded to the Service or stored in your digital vault by you and your Authorized Users, and you represent and warrant that you and they have the legal authority and all necessary rights to provide that personal information to us. If we learn that we have collected personal information from a child under the age of 16 without the consent of the child’s parent or guardian as required by law, we will delete that information.

Notice to Persons Outside the United States

Legata has its offices and operates and maintains the Service in the United States, and all data collected through the Service is processed and stored on servers located within the United States.

If you are accessing the Service from outside the United States, please be aware that by using the Service and providing your personal information, you are agreeing to the transfer of your personal information to the United States and to the processing and storage of your information in the United States. The data protection and privacy laws in the United States may not provide the same level of protection as those in your country of residence. If you do not want your personal information transferred to or processed in the United States, you should not use the Service or provide your information.

Third-Party Sites and Services

The Service may incorporate third-party content or contain links or integrations that connect you to third-party websites, applications, services or content that are not owned, operated, or controlled by Legata(collectively, “Third-Party Sites”). For example, the Service may provide links to or integrations with the websites or services of financial institutions and document signing platforms, links to third-party educational content, or links to the websites of legal professionals, insurance companies and other referral partners of Legata.

This Privacy Policy does not apply to your interactions with Third-Party Sites or their owners or operators. Any personal information you provide to those third parties is governed by their respective privacy policies and terms of service. We do not control, endorse, or assume responsibility for the privacy practices, content, or security of any Third-Party Sites or third-party content or services, and your use of those sites, content or services is at your own risk.

We encourage you to review the privacy policies and terms of service of any third-party site or service before providing them with your personal information. If you have questions about how a third party collects, uses, or shares your information, please contact that third party directly.

You have several choices regarding how your personal information is collected, used, and shared. Depending on your preferences and the tools you use, you may exercise control in the following ways:

a. Update or Correct Your Information

You can update or correct your personal information in your account or subscription, or if you are the Estate Owner or an Authorized User with sufficient access and use permissions for an Estate on the Service, within that Estate.
